Creator Agreement

1. Overview

This Creator Agreement (the "Agreement") is between you (the "Creator") and Maltivas Corp ("Maltivas", "we", "us"). It supplements the Maltivas Terms of Service and the Maltivas Privacy Policy, and applies whenever you publish a paid listing — including crowdfunding campaigns, products, courses, ebooks, comics, films, services, bookings, conventions, festivals, awards, commissions, or invoices — through the platform.

By publishing a paid listing or accepting a payment through Maltivas, you confirm you have read, understood, and agreed to this Agreement.

2. Maltivas's role: payment facilitator only

Maltivas provides the technology that lets supporters and customers send payments to you. We do not buy or resell your work, do not act as a merchant of record for the goods or services you offer, and do not warehouse, ship, or otherwise fulfill anything you list. The payment relationship — including authorization, processing, settlement, refunds and chargebacks — is handled by your connected payment processor (Stripe or Paystack), except that for the event ticket sales described in Section 3(b) Maltivas determines when collected funds are released to you.

3. Settlement of funds

Depending on the payment processor and the type of item sold, funds reach you in one of two ways. Which one applies is shown to you before you list an item.

(a) Direct settlement. For most sales — including all sales processed through Paystack and Trickl, and non-event sales processed through Stripe — funds are routed to your connected payment processor account at the time of payment, less the applicable Maltivas platform fee and the payment processor's own fees. Maltivas does not hold these funds.

(b) Scheduled release (event ticketing). For event ticket sales processed through Stripe, payments are collected into a Maltivas-controlled account with our payment processor and released to your connected account on the schedule below. We do this because tickets are paid for in advance of an event, and buyers retain the right to dispute a charge with their card issuer for a period after the event — including where an event is cancelled or does not take place.

For each ticket sale under (b), the amount payable to you (after fees) is divided in two:

  • 50% is released according to your payout tier:
    • New organizers: the day after the event ends.
    • Established organizers: monthly, at the end of the month.
    • Trusted organizers: weekly.
  • 50% is released 30 days after the event ends, regardless of tier.

Your payout tier is determined by Maltivas based on your history on the platform, and may be adjusted at any time, including where we identify elevated refund, chargeback, or non-delivery risk. We may assign a more favourable tier to established organizers at our discretion.

Because of limits imposed by our payment processor, events sold under (b) must begin within 120 days of tickets going on sale.

Nature of held funds. Funds awaiting release under (b) are held with our payment processor, not in a Maltivas bank account. They are not a deposit, escrow, or trust account, Maltivas is not acting as a bank or fiduciary, and no interest accrues to you on them. We may apply funds awaiting release to satisfy refunds, chargebacks, processor fees, or other amounts you owe under this Agreement, and we may delay release of a specific amount while a dispute, suspected fraud, or investigation relating to it is unresolved.

Timing. Once released, the time it takes for funds to become available in your bank account is determined by your payment processor and your bank, not by Maltivas. Stripe and Paystack each publish their own settlement schedules; please refer to their documentation for specifics.

4. Currency

Each listing is denominated in a single settlement currency, chosen by you when you create the listing. Your settlement currency is constrained by your connected payment processor:

  • Stripe Connect: any currency your connected Stripe account is enabled for. Stripe handles cross-currency presentment to your settlement currency where supported.
  • Paystack: Kenyan Shilling (KES) only. Paystack is currently live for Kenyan creators in our project, and Paystack split-payment subaccounts only accept KES transactions.
  • Flutterwave: the currency configured on your connected Flutterwave subaccount.

Customers may see prices displayed in their local currency at the point of payment. The actual charge is made in your settlement currency, and the customer's card issuer applies its own foreign exchange rate.

5. Your responsibilities

By publishing a paid listing on Maltivas, you confirm and agree that:

  • Accuracy. Every listing represents your work or service honestly. You will not misrepresent what you are offering, the timeline for delivery, or your ability to fulfill it.
  • Fulfillment. You are solely responsible for producing and delivering any rewards, perks, products, services, or other deliverables you describe in a listing. Maltivas is not a party to the agreement between you and your supporters or customers regarding fulfillment.
  • Communication. You will keep your supporters and customers reasonably informed about the status of their pledges or orders, including any delays or material changes.
  • Refunds. Refunds are your responsibility, not Maltivas'. Where funds have settled directly to you (Section 3(a)), refunds are issued from your own balance through your payment processor. Where funds are still awaiting release under Section 3(b), we may deduct the refunded amount from those funds; if they are insufficient to cover it, the shortfall remains payable by you. You agree to handle refund requests fairly and in line with the expectations you set for your supporters and customers.
  • Taxes. You are solely responsible for any taxes — income, sales/VAT, or otherwise — that apply to the funds you receive. Maltivas does not collect, withhold, or remit taxes on your behalf except where required by law.
  • Legal compliance. Your listings, products and conduct must comply with all applicable laws and the Acceptable-Use rules in the Terms of Service.
  • Intellectual property. You either own the rights to the content you publish, or have permission to publish it. You will not infringe the rights of any third party.
  • Identity verification. You will complete the identity, address and bank verification steps your payment processor requires before going live with paid listings, and will keep that information current.

6. Prohibited use

You will not use Maltivas to:

  • Fundraise for charity or solicit donations on behalf of a third party
  • Offer equity, securities, debt or any other regulated financial instrument
  • Sell, distribute or promote items prohibited by Stripe, Paystack or Flutterwave, or by applicable law (including but not limited to weapons, regulated drugs, adult content where disallowed, and goods that infringe third-party rights)
  • Engage in money laundering, sanctions evasion or other unlawful financial activity
  • Run schemes structured to manipulate platform fees, fraud detection or any payout mechanism

7. Platform fees

Maltivas charges a platform fee on each successful transaction. The current fee schedule is shown on the listing-creation page and may be updated from time to time with notice. Payment processor fees are deducted separately by Stripe, Paystack or Flutterwave and are outside Maltivas's control.

8. Chargebacks and disputes

When a supporter or customer disputes a charge with their card issuer, the dispute is handled by the card networks and your payment processor under their respective rules. You may be required to provide evidence of fulfillment.

You acknowledge that excessive chargebacks may result in processor fees, additional reserves placed against your connected account, suspension by the payment processor, and/or suspension or termination of your Maltivas account.

Where a chargeback relates to a sale under Section 3(b), we may recover the disputed amount, and any associated fee, from funds awaiting release to you or from the proceeds of your future sales. If those are insufficient, the shortfall remains payable by you. Elevated chargeback activity may also result in a change to your payout tier under Section 3(b).

9. Suspension and termination

Maltivas may suspend or terminate your access to paid listings at any time if we reasonably believe you have breached this Agreement, the Terms of Service, the rules of your payment processor, or applicable law, or where required to protect supporters, customers or the platform. Where reasonable, we will give notice and an opportunity to cure. Funds already settled to your payment processor remain subject to that processor's policies.

10. Indemnification

You agree to indemnify and hold harmless Maltivas Corp, its affiliates, directors, employees and agents from and against any claim, loss, liability, damage or expense (including reasonable legal fees) arising from: (a) your listings, products, services or other content; (b) your failure to fulfill any reward, product or service you offered; (c) tax obligations on funds you received; or (d) your breach of this Agreement, the Terms of Service, or applicable law.

11. Changes to this Agreement

We may modify this Agreement from time to time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Continued publication of paid listings after the effective date constitutes acceptance of the revised Agreement.
